This Terms of Use Agreement (the “Agreement”) governs your access to, and use of, the websites, services and applications (collectively, the “Services”) which are owned, operated or provided by or on behalf of RockitBoost Inc. (“RockitBoost”). As used in this Agreement, “you” and “your” refers to you, the person accessing the Services; “we” means (and “us”, “our”, “ours”, and “ourselves” refer to) RockitBoost; and “party” or “parties” refers to both you and us. The effective date of this Agreement is when you accept it, in accordance with the terms and conditions that are set out below.

IMPORTANT! YOUR ACCESS TO AND USE OF THE SERVICES IS SUBJECT TO LEGALLY BINDING TERMS AND CONDITIONS. PLEASE CAREFULLY READ ALL OF THE FOLLOWING TERMS AND CONDITIONS BEFORE YOU PROCEED. ACCESSING OR USING THE SERVICES IS THE EQUIVALENT OF YOUR SIGNATURE AND INDICATES YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS AND THAT YOU INTEND TO BE LEGALLY BOUND BY THEM. IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, PLEASE DO NOT USE THE SERVICES.

We reserve the right to change these terms and conditions at any time without notice, by updating this Agreement, and such changes will be effective as of the date these updates (or an updated version of this Agreement) are posted to our website. We may provide notice to you of material revisions by means of a general notice on our website. Your continued use of the Services after such revisions are posted will signify your agreement to these revised terms. Therefore, you should visit this page periodically to review this Agreement.

1. Our Services

RockitBoost is a website and service of RockitBoost, LLC or its subsidiaries (“we”, “our” or “us”). RockitBoost is a tool designed to provide designed to provide Product Owners, Ecommerce Sellers, Crowdfunders, and App or Game Developers (Campaign Admins) with the ability the ability to run and manage a referral marketing program for their Crowdfunding campaign and/or eCommerce store. A “Campaign Admin” is an individual or entity that is setting up or otherwise managing a Referral Program through our Services. RockitBoost is also a tool for tool for Influencers and Affiliate users to earn rewards for generating referred sales towards Campaigns using RockitBoost.

2. Acceptance of Terms

2-1. Overview
By accessing or using the RockitBoost Service, you agree to be bound by these General Terms of Use. Please read these General Terms of Use and ensure you understand them. The “Service(s)” means the services RockitBoost makes available through our platform [link].

2-2. Modifications
We might make changes to these General Terms of Use. If you don’t agree with the changes, you can reject them by cancelling your account. If you continue to access and use our Service after the date our terms were updated, we will treat your use as acceptance of the updated terms.

2-3. Your Account
Feel free to browse our site as much as you’d like without registering an account. In order to use our Service, you will need to create an account, in which you are agreeing to the following:

1. You are over the age of 13 and are eligible to register and use the Services and have the right, power, and ability to enter into and perform under this Agreement. For our Product Owners and Crowdfunding Campaigners, you must also be the age of majority or older that applies in your home state,2. The name identified by you when you registered is your name or business name under which you are most commonly known by or under which you sell products and services.

3. You are a human. Accounts created by automated methods are not permitted.

4. The name you have provided is not offensive and does not violate anyone’s rights.

3. Nature of Relationship

RockitBoost is not a marketing agency nor marketing firm, and RockitBoost makes no covenants to promote your Crowdfunding campaign or eCommerce store. The success of the Services depends on the quality of the product and getting the word out about the pre-launch page and/or referral program. We provide a solution for Campaign Admins and Affiliate Users to manage Affiliate Users, clicks, pledges/orders, and commissions. Campaign Admins may market their products on our website. We also handpick campaigns we promote on our own social media, newsletters and blogs. If we do promote a campaign, we will use our own Affiliate User link which will generate the same commission offering as the campaign applies in their settings page.

You agree that RockitBoost is only acting as a passive conduit for your activities on the Service, and that no guarantees are made as to the success of your activities. This is so even in the event that you receive specific support from us in relation to your activities on the Service. We want to help you where we can, but you accept our help on an ‘as-is’ basis, without any representations or promises as to its benefit.

RockitBoost is not a bank or money services business (“MSB”) and RockitBoost does not offer banking or MSB services as defined by the United States Department of Treasury.

RockitBoost will not provide any Campaign Admin with contact information that is not publicly available for any Affiliate User/Influencers without prior approval and/or consent from the Affiliate User.  We will occasionally email the Affiliate User/Influencer on behalf of the Campaign Admin but the Campaign Admin will not have direct access to the email account.

4. Acceptable Uses

Your use of the Service must comply with all applicable laws, regulations and ordinances, including any applicable tax and/or data privacy laws and regulations.

RockitBoost reserves the right to enforce quotas and usage limits (to any resources, including the application programming interface) at its sole discretion, with or without notice, which may result in RockitBoost disabling or throttling your usage of the service for any amount of time.

5. Campaign Admins/Agencies

5-1. Your Account Authorization and Set Up
When you register a with RockitBoost, you are either the Campaign Admin or an authorized user to register the program.

5-2 Campaign Admin’s Representations and Promises
When a Campaign Admin registers an account with RockitBoost, RockitBoost requires that each Campaign Admin agrees to the following (where “you” and “your” refers to the applicable Campaign Admin):

1. You will fulfill all of your obligations to each Affiliate User that raises any amount of funds towards your Crowdfunding campaign or eCommerce store through RockitBoost.

2. You will resolve any consumer dispute or complaint directly with the Affiliate User. If an Affiliate User has a complaint about your campaign or outstanding commissions, we may advise them to liaise with you directly and will not be responsible for the result of any dispute arising between you and an Affiliate User.

3. You own or have a legal right to use the Member Content (as defined below) with the Services so as not to infringe upon the Intellectual Property Rights (as defined below) of others. “Member Content” means the content a Campaign Admin uses to create and manage a Campaign, and the content any user with a RockitBoost account provides to a Campaign on the Services, including posts or comments or questions on, feedback about, contributions to, or other information provided to, a Campaign or the Services. “Intellectual Property Rights” means all worldwide rights in patents, trademarks, trade names, service marks, copyrights, trade secrets, publicity, goodwill, and all other intellectual property and proprietary rights as may now exist or hereafter come into existence, and all derivatives, applications therefore and registrations, renewals, and extensions thereof.

4. You understand that you are responsible for all actions taken by visitors to Campaign Admin’s RockitBoost site and Affiliate Users. RockitBoost has no responsibility or obligation to police comments, content, or purchase behavior occurring on your RockitBoost site. 5. You understand that RockitBoost is not responsible in any way for any cancelled pledges and orders that may occur before, during or after your subscription with RockitBoost or as a result of your subscription with RockitBoost.

6. Affiliate Users

You are an “Affiliate User” if you are setting up or otherwise managing unique URLs through our Services and driving traffic to a campaign registered with RockitBoost. If you are an Affiliate User, this section applies to you.

6.1 Affiliate User Responsibility and Understanding

1. Promotion via paid traffic (including any Google Ads campaign), re-targeting, discount and/or coupon site, or any other method that in the sole discretion of the Campaign Owner is not in accordance with the letter and spirit of these terms and conditions may result in commissions being denied and puts your continued participation with RockitBoost in jeopardy.

2. You cannot SPAM. You cannot SPAM. You cannot SPAM. We will terminate your account on the first offense of SPAMMING. Do not send email to lists or groups that you do not have permission to send to. We cannot stress this enough; we WILL terminate your account on the first offense.

3. You may place banners or links within your content on your owned and operated (i) newsletters, (ii) websites, (iii) social media accounts, (iv) or within other web-related content and platforms that you own, control and/or manage (collectively, the “Affiliate User Properties”).

4. The Affiliate User Properties (defined above) will not contain pornographic content, and will not facilitate, advocate, or promote hate or discrimination on the basis of race, ethnicity, gender, religion, sexual orientation, age or disability.

5. Fraud is a serious offense, and will be treated as such. Fraud is defined as any action that intentionally, directly or indirectly, attempts to create sales, leads, or click-throughs using robots, frames, iframes, scripts or manually “refreshing” of pages, for the primary purpose of creating commissions. ANY ATTEMPTED FRAUD WILL RESULT IN TERMINATION AND VOID COMMISSIONS.

6. If fraudulent or suspicious activity takes place through your affiliate link(s), we will remove transactions and commissions without notice.

7. When a campaign ends, the Campaign will automatically close and no more contributions will be accepted for the Campaign.

8. We may email you concerning Campaign Admin programs.

9. All statistics are collected and calculated by RockitBoost.me and will be the only valid stats for determining commissions.

10. As an Affiliate User, you can only have one (1) account. You can participate in multiple campaigns in one account, but only one account is allowed.

11. When any non-monetary rewards in exchange for campaign contributions (“Perks” or “Rewards”) are offered by a Campaign Admin, the delivery and characteristics of such Perks are a promise between you (as an Affiliate User) and the Campaign Admin. We do not represent, warrant, or guarantee Perks will be delivered or be satisfactory to you, and we disclaim all warranties relating to Perks. We are not liable to any user of the Services if Perks are not delivered, or are not as described, by the Campaign Admin. Any dispute you may have in respect of a Perk or Reward shall be resolved directly between you and the Campaign Admin.

RockitBoost will not be liable for the payment of commissions to Affiliate Users if RockitBoost does not receive payment for the same from the Campaign Admin. In the event of a Void (as defined below) applied for by a Campaign Admin and approved by RockitBoost, RockitBoost may recover from you the corresponding Commission previously credited to your account. The Void commission will be immediately deducted from your account balance (if any).

In the event that your account balance is less than the Void commission, the Void commission will be deducted against your future earnings.

7. Our Rights

1. We reserve the right to refuse service to anyone for any reason at any time.

2. Except as otherwise set forth in this Agreement, we reserve the right to modify or terminate the Service for any reason, without notice, at any time.

3. We reserve the right to reject, cancel, interrupt, remove, or suspend a Campaign at any time and for any reason, without liability for any damages as a result of any of those actions. RockitBoost may or may not comment on the reasons for such actions.

4. We reserve the right to terminate a specific Campaign at any time.

5. We will render the Services in a commercially reasonable manner and in accordance with generally accepted industry practices and procedures used in performing services of a like-kind to the Services.

6. We may change or remove any description, keyword or other content that we consider inappropriate or unlawful, or otherwise likely to cause RockitBoost liability or could potentially devalue the goodwill associated with RockitBoost.

7. We reserve the right to make changes to these General Terms of Use at any time.  Continued use of RockitBoost implies agreement to these changes.

8. Your Intellectual Property

We don't own the content you post on RockitBoost, but we do have your permission to use or copy it however we need. We generally use it to promote projects and showcase our community. Ultimately, you're responsible for the content you post, and you're vouching to us that it's ok to use.  To do this, we need certain licenses from you in order to perform our Services. When you submit a project for review, or launch a project, you agree to these terms:

1. We can use the Content you’ve submitted. You grant to us, and others acting on our behalf, the worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable, transferable right to use, exercise, commercialize, and exploit the copyright, publicity, trademark, and database rights with respect to your Content. In general, we use this Content to promote projects and showcase our community on the website.

2. When we use the Content, we can make changes, like editing or translating it. You grant us the right to edit, modify, reformat, excerpt, delete, or translate any of your Content.

3. You won’t submit stuff you don’t hold the copyright for (unless you have permission). Your Content will not contain third-party copyrighted material, or material that is subject to other third-party proprietary rights, unless you have permission from the rightful owner of the material, or you are otherwise legally entitled to post the material (and to grant RockitBoost all the license rights outlined here).

4. Any royalties or licensing on your Content are your responsibility. You will pay all royalties and other amounts owed to any person or entity based on your Content, or on RockitBoost’s hosting of that Content.

5. You promise that if we use your Content, we’re not violating anyone’s rights or copyrights. If RockitBoost or its users make use of your submission in the ways contemplated in this agreement, you promise that this will not infringe or violate the rights of any third party, including (without limitation) any privacy rights, publicity rights, copyrights, contract rights, or any other intellectual property or proprietary rights.

6. You’re responsible for the stuff you post. All information submitted to the Site, whether publicly posted or privately transmitted, is the sole responsibility of the person from whom that Content originated.

7. We’re not responsible for mistakes in your Content. RockitBoost will not be liable for any errors or omissions in any Content.

9. Fees

Your credit card on file will be automatically charged each month, once upon sign-up and then one month after said date. The fees are as follows:  

Monthly Subscription Fee: $19 per product Campaign. If you are a member of our Premium subscription plan, the cost is $79 for each group of five product Campaigns you have listed on RockitBoost. This is charged monthly for each Campaign you run.
 
Commissions: This is the amount you set for each Influencer who successfully gets traffic to your site or a sale of your product. It is usually a percentage of your sale price or a per person amount for each visitor they bring to your website.  
The User will be responsible for any penalties charged by banks for insufficient balance or credit.

Transaction Fees: There is a 3% fee charged to Product Owners and Crowdfunding Campaigners each time an Influencer is paid for your Campaigns.

10. Cancellation

Your credit card on file will be automatically charged each month, once upon sign-up and then one month after said date. The fees are as follows:

Commissions:
This is the amount you set for each Influencer who successfully gets traffic to your site or a sale of your product. It is usually a percentage of your sale price or a per person amount for each visitor they bring to your website.  
The User will be responsible for any penalties charged by banks for insufficient balance or credit.

11. Secure Transactions  

At RockitBoost, we want to make your payment experience easy and comfortable, so we have taken measures to guarantee payments you place with us will be secure and safe. We use the latest in security technology to ensure your credit card information stays safe, as well as maintain the utmost respect for your personal information and guarantee that we will never sell it to a third party.
